Tesatech Corporation Private Limited, a private company limited by shares and incorporated under the laws of India and its affiliates (“TCPL”, “we”, “us” or “our” as applicable), is engaged in the business of providing legal technology software as a service solutions, including digital tools for legal workflow management, matter and case management, document management, contract support, compliance tracking and related legal operations support (collectively, “Services”). We also manage and operate the website www.lexodesk.com, the domain name, and any other linked pages, features, content, mobile applications, or any other services TCPL may offer from time to time in connection therewith (collectively the “Platform”), which is an online platform which enables users to enquire and avail the Services.
This document and such other rules and policies of TCPL and the Platform, as may be amended from time to time, are collectively referred to as the “Terms & Conditions” or “Terms”.
By accessing, browsing, or otherwise using the Platform (either as a visitor or a customer) and availing our Services, you (hereinafter referred to as “you”, “your”, “Customer”, or “User” as applicable) on your behalf and on behalf of any companions accompanying or participating along with you, expressly and voluntarily consent to abide by the Terms.
We may update these Terms from time to time. Changes take effect upon posting to the Platform. Please review regularly.
This document, when published on the Platform, will be an electronic record in terms of applicable laws including the Singapore Electronic Transactions Act, 2010, Indian Information Technology Act, 2000, Indian Information Technology (Intermediary Guidelines) Rules, 2011, Digital Personal Data Protection Act, 2023, US Privacy Act, 1974, US Cybersecurity Information Sharing Act, 2015, UK Information Protection Act, 2018, UK Computer Misuse Act, 1990, their congruent rules, the General Data Protection Regulations for Europe, any other laws as may be applicable to the jurisdiction in which the Services are being provided/availed and the amended provisions pertaining to electronic records in various statutes. This electronic record is generated by a computer system and does not require any physical or digital signatures.
We reserve the right, at our sole discretion, to change or update these Terms or part thereof, at any time without any prior written notice to you. It is your responsibility to review these Terms periodically for any updates / changes.
PLEASE READ THE TERMS CAREFULLY BEFORE PROCEEDING. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM OR AVAIL THE SERVICES PROVIDED BY THE PLATFORM OR TCPL.
Additional terms and conditions may apply to you in respect of availing specific Services and/or to specific portions or features of the Platform, including contests, offers, schemes, promotions, or other similar features in relation to the Services; all of which terms are to be read as part of these Terms. You agree to abide by such other terms and conditions, including, where applicable, representing that You have the legal capacity to use or participate in such service or feature. If there is a conflict between these Terms and the terms posted for or applicable to a specific portion of the Platform or for any specific service offered on or through the Platform, the latter terms shall control with respect to your use of that portion of the Platform or the specific service. TCPL expressly reserves the right at any time, to add to and/or alter, modify, change, or vary all or any of the terms and conditions or to replace wholly or in part, the contests, offers, schemes, promotions etc. with another contest, offer, scheme, promotion etc. or to withdraw it altogether.
1. Account
Registration. You may browse as a visitor or register to use the Services (“Account”). Registration requires accurate, current and complete information, and prompt updates of changes.
Your responsibilities. You agree to:
- provide accurate, current, and complete information as may be prompted (“Registration Data”) and maintain and undertake to update the same in respect of any changes;
- maintain the security of your password;
- accept all risks of unauthorized access to the Registration Data and any other information you provide to us;
- notify us immediately of any breach of security or any unauthorized use of your Account;
- not authorize, assign, or otherwise transfer your Account to any other person or entity or to let them operate through the account created and in no event use another user’s account for any purpose or objective; and
- be responsible for all activity on your Account and to use and operate the same in accordance with applicable law.
TCPL reserves the right to disallow, cancel, remove or reassign certain usernames and permalinks in appropriate circumstances, as determined by us in our sole discretion, and may, with or without prior notice, suspend or terminate your Account if activities occur on that Account which, in our sole discretion, would or might constitute a violation of these Terms, or an infringement or violation of the rights of any third party, or of any applicable laws or regulations. We may at our sole discretion restore access to your Account, at any time, pursuant to any suspension.
How the Platform works for its Customers
The Platform inter alia provides:
- software-as-a-service (SaaS) platform that provides AI-assisted tools for legal document drafting, document processing, collaboration, and workflow management for legal professionals.
- for the users to upload and manage legal and case-related documents, generate preliminary drafts of legal documents based on user inputs and uploaded materials, edit and review generated content, collaborate with authorized users, organize files, and maintain document repositories.
The Platform does not provide legal advice, legal representation, or legal opinions, and the platform is not intended to replace the professional judgment of qualified legal practitioners.
It is hereby clarified that, outputs generated by the platform are intended to assist users in their legal drafting and workflow processes. Users are solely responsible for reviewing, verifying, editing, approving, and using any content generated through the platform.
Types of Content
There are three types of content that you will be able to access on the Platform:
- Your Content: information you submit (e.g., documents (scanned or otherwise), Microsoft Office files including but not limited to MS excel sheets (.xlsx), MS word files (.docx), Adobe or (.pdf) files and any other documents (electronic, scanned or other formats acceptable by the Platform to perform its Services) or information which will include profiles, roles, prompts, messages, interview notes and information which may be regarding You or any other persons as the case may be.
- Customer Content: content submitted by other users.
- Our Content: the Platform, models, software, datasets, documentation, UI and all related IP.
- Third-party services. Certain Services are provided or enabled by third-party providers (e.g., video conferencing, calendars, verification, payments, judicial orders, case search, cause list search and any such other information services providers which may be integrated with the Platform). For those features, your contract may be with the third party and their terms will apply. TCPL is not responsible for third-party acts or omissions. In the event any details or information pertaining to third-party service providers is required, you may reach out to the grievance office of TCPL (information is set out below).
Customer acknowledges that the Services are being provided to you on a ‘as is’ and ‘as available’ basis and may be interrupted while browsing, transacting, using, or uploading information on the Platform. The Customer agrees that we reserve the right to suspend the Services, forthwith without assigning any reason whatsoever, at our sole discretion.
Customer will (a) abide by all applicable local, state, national, and international laws and regulations in its use of the Platform (including laws regarding intellectual property); (b) not interfere with or disrupt the use and enjoyment of the Platform by other Customers; (c) not engage, directly or indirectly, in transmission of “spam”, chain letters, junk mail or any other type of unsolicited communication; (d) not defame, harass, abuse, or disrupt other Customers of the Platform; (e) not by itself, or by posting of materials which, infringes any third party’s rights (including, without limitation, intellectual property rights and privacy rights); and (e) not to do or attempt to do any action which is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, harmful to minors, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, trolling, propaganda or otherwise encourages any illegal activity including, without limitation, terrorism, inciting racial hatred or the submission of which in itself constitutes committing a criminal offence unlawful in any manner whatever.
Customers can create an Account via manual registration, or by using your Gmail login details. If you create an Account using your Gmail login details, you authorize us to access, display and use certain information from your Gmail account (e.g. profile pictures, location, and information about Gmail contacts). For more information about what information we use and how we use it, please check out our Privacy Policy. By using our Platform, you acknowledge that we may collect and use of your data and information in accordance with our Privacy Policy.
Customers can delete their Account at any time by going to the ‘Settings’ page when they are logged in and clicking on the ‘Delete account’ link. The Customer Account will be deleted immediately but it may take a little while for the Customer Content (as defined here under) to be completely removed from the Platform. Your profile information will be treated in accordance with our Privacy Policy. If you delete your Account and try to create a new account within this time period using the same credentials, we will re-activate your Account for you.
2. Payment Service Providers
- If you make or receive payments using a Payment Service Provider (as defined hereunder), you acknowledge and agree that you will comply with any Payment Service Provider terms of service or other agreement between you and the Payment Service Provider. In case of any disputes or claim, you may contact the relevant Payment Service Provider.
- TCPL will not be held liable for any losses or damages either direct or indirect, pecuniary, or non-pecuniary, resulting from the actions or omissions of any Payment Service Provider, and we expressly disclaim any responsibility in this regard. Any fees for use of a Payment Service Provider to make payments or receive payments will be borne by you. Any fees imposed on you by a Payment Service Provider are in addition to any fees payable to the Platform.
- For the purpose of these Terms, “Payment Service Provider(s)” shall mean third-party payment service providers, payment gateways, or payments processors such as the Apple App Store or the Google Play Store who are featured on the Platform to aide with completing payments of funds from Customers and for the settlement of dues payable for any Services availed or agreements executed on or through the Platform.
3. Customer Responsibility
You agree, undertake, and confirm that your use of the Platform shall be strictly governed by the following:
- You are prohibited from assigning or transferring your Account to any other user, person, or entity.
- You agree that you shall not violate any applicable law of the relevant jurisdictions where the Platform is operational, and which are in force. As a condition of your use of this Platform, you warrant to TCPL that you will not use this Platform and/or its content for any purpose that is unlawful or prohibited by these Terms, conditions, policies of TCPL, and notices.
- You shall not use the Platform to post anything grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating, or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to "indecent representation of women or men" or harmful to minors.
- You shall not attempt to use any intellectual property rights of TCPL, or a third-party partner linked to our Platform including any patent, trademark, copyright or other proprietary rights or trade secrets or rights of publicity or privacy.
- You also shall not make use of any other computer code, software viruses, files or programs designed to interrupt, destroy, or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data, Platform, or personal information.
- You shall not, directly, or indirectly, offer, attempt to offer, trade, or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation, or guideline for the time being in force.
- You shall not create liability for TCPL or cause TCPL to lose or disrupt (in whole or in part) the services of our service providers or other suppliers.
- You understand that TCPL does not currently conduct criminal background checks on its customers. TCPL also does not inquire into the backgrounds of its customers or attempt to verify the statements of its customers. TCPL makes no representations or warranties as to the conduct of any customers or users or their compatibility with any current or future users. TCPL reserves the right to conduct any criminal background check or other screenings at any time and to use available public records for any purpose.
4. Breaches and Suspension
If any User breaches these Terms, or if TCPL reasonably believes that a User is in breach of these Terms, could subject TCPL or its affiliates to liability, or is otherwise engaged in activities that are inappropriate, unlawful, fraudulent, or harmful to the integrity of the Platform, TCPL shall have the right to take such disciplinary actions as it deems appropriate, including without limitation:
- suspending or terminating the Customer’s Account and any and all accounts determined to be related to such account by TCPL in its discretion;
- blocking, restricting, downgrading, suspending, or terminating the subscription of, access to, or current or future use of any Service; or
- any other corrective actions, discipline or penalties as TCPL may deem necessary or appropriate in its sole discretion.
In the event a User becomes inactive for an extended period or if no transaction or activity is noticed by TCPL, TCPL reserves the right to temporarily deactivate, restrict, or suspend such User’s Account in its sole discretion, with or without prior notice.
TCPL reserves the right to cooperate fully with governmental authorities, regulators, private investigators, or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, TCPL may disclose a User’s identity, contact details, or account-related information if requested by a government authority, law enforcement body, regulator, court, or other third party pursuant to applicable law or legal process (including a summons, or investigation request).
5. Eligibility
The Platform and the Services are available only to individuals who are 18 (eighteen) years of age or older, or such age of majority as may be applicable under the laws of the User’s local jurisdiction, and who are professionals or persons associated with the field of law and legal jurisprudence and are legally permitted to use the Platform under the laws of their home country. If you are below 18 (eighteen) years of age or the applicable age of majority under the local laws, you may not create an account or use the Services. Accounts must be created and operated by natural persons only; automated methods, “bots,” or scripts are not permitted. By applying for an Account and using the Services, you represent and warrant that you meet the eligibility requirements under the applicable laws and are capable of entering into a binding contract.
TCPL reserves the right to verify your eligibility at any stage, and may suspend, deactivate, or terminate your Account and refuse to provide the Services without prior notice if you are found to be ineligible under this Section 5.
6. Payment
TCPL may offer certain products and/or Services for purchase on the Platform (“Paid Services”). If you choose to purchase any Paid Services, you acknowledge and agree that additional terms, disclosed to you at the point of purchase, may apply, and such additional terms are incorporated herein by reference.
Payments may be made through the following methods (“Payment Methods”):
- UPI (Unified Payments Interface); and / or
- credit card, debit card, or net banking; and / or
- third-party payment processors (e.g., Razorpay, Stripe, PayPal, etc.); and / or
- such other methods as may be enabled by TCPL from time to time.
By completing a purchase, you authorize us to charge your selected Payment Method. If payment is not received, you agree to promptly pay all outstanding amounts upon demand.
Cancellation and Refunds: Once a Paid Service is purchased, it is non-refundable except where required under applicable law or where expressly communicated by TCPL at the time of purchase. If you cancel your Paid Services, you may continue to use them until the end of the period you last paid for, but you will not be eligible for any prorated refund.
Free Trials: TCPL may, at its discretion, offer free trials for certain Services. If you do not cancel at the end of the free trial, the details of such conversion will be notified at the time of offering the free trial.
7. Indemnity and Limited Liability
- By accepting these Terms and using the Platform and/or availing the Services, the Customer agrees that the Customer shall defend, indemnify and hold TCPL, its partners, employees, officers and other representatives (“Indemnified Parties”) harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys' fees and costs) arising out of or in connection with: (i) misuse of the Customer’s access to and use of the Platform, the Service and/or the content displayed on the Platform; (ii) any loss or injury to the Indemnified Parties resulting from or attributable to the Customer’s acts, wilful misconduct or omissions; (iii) the Customer’s violation or breach of these Terms or any applicable law or regulation; (iv) the Customer’s violation of any rights of any third party; or (vi) any and all third-party claims based upon (A) the content of any communications transmitted by the Customer; and/or (B) transactions undertaken by the Customer.
- Customer shall fully indemnify, keep indemnified, defend and hold harmless TCPL and TCPL’s partners, affiliates, third-parties, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms, the terms of any applicable TCPL policies, or your violation of any law, rules or regulations or the rights of a third party.
- Notwithstanding anything contained herein, TCPL’s entire liability and the Customer’s sole and exclusive remedy in any circumstance is limited to the amount of fees, if any, paid by the Customer for the transaction under dispute. Other than the aforesaid, TCPL shall have no liability towards the Customer in any manner whatsoever.
- Under no circumstances will TCPL be liable for any consequential, incidental, special, exemplary, or punitive damages, including but not limited to any lost profits or loss of any outcomes that result from your purchase of any products on platform or any services availed, even if TCPL has been advised of the possibility of such damages.
8. Intellectual Property
- TCPL is the sole owner or lawful licensee of all the rights and interests in the Platform and its content (including but not limited to source code, software, databases, text, graphics, UI/UX elements, designs, audio, video, and other materials). All title, ownership and intellectual property rights in the Platform and its content shall remain with TCPL or licensors of such content, as the case may be. All rights not otherwise expressly granted under the Terms or by TCPL are hereby reserved.
- Any trade-dress, brand name, trademark, service mark, icons, and logos used by TCPL on the Platform in relation to the Services are the exclusive intellectual property of TCPL in various jurisdictions and are protected under applicable copyright, trademark, patent and other proprietary rights laws. The unauthorized copying, reverse engineering, decompilation, disassembly, modification, reproduction, distribution, use, or publication of these marks, content, or any portion of the Platform is strictly prohibited.
- Except as expressly permitted under these Terms, no User is granted any license or right to use any intellectual property of TCPL.
- Customer grants TCPL a limited, royalty-free, worldwide, and non-exclusive license to use any testimonials or feedback which the Customer provides, solely for the purpose of promotional, marketing, training, or advertisement activities of TCPL or its marketing affiliates, subject to applicable data protection laws.
- If you believe that any content on the Platform infringes your intellectual property rights, you may notify us at contact@lexodesk.com, and TCPL will take appropriate action in accordance with applicable law.
9. Privacy
Customer grants TCPL the express right to put to lawful use all the information collected from them in relation to the services provided by TCPL. The personal information / data provided to TCPL by the Customer will be treated as strictly confidential and in accordance applicable laws and regulations. The details of use of such information are laid out in the Privacy Policy.
10. Force Majeure
Notwithstanding anything contained in these Terms, TCPL shall not be liable to the Customer for any failure to perform or any delay in the performance of any of its obligations herein, where such failure or delay is caused due to war, rebellion, civil disturbance, earthquake, fire, flood, strike, lockout, labour unrest, acts of government instrumentalities, acts of public enemy, pandemic, epidemic, acts of God, or such other cause as is beyond the reasonable control of the defaulting or delaying Party.
11. Customer Grievances
Any grievance or complaints by Customers regarding the Services and/or the Platform, be immediately informed to the designated Grievance Officer as mentioned below, via e-mail.
The Grievance Officer shall acknowledge the complaint within 72 (seventy-two) hours and redress the complaints within 15 (fifteen) days from the date of receipt of complaint.

12. Governing Law, Jurisdiction and Dispute Resolution
- Any kind of dispute arising out of these Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
- It is agreed that all disputes, claims, actions, suits or other proceedings arising hereunder shall be governed by, and construed in accordance with, the substantive law of India applicable to contracts wholly made and to be performed within India; (b) to irrevocably submit to the sole and exclusive jurisdiction of the courts of Pune, Maharashtra, India; and (c) to irrevocably consent to the exercise of personal jurisdiction by such courts and waive any right to plead, claim or allege that Pune, Maharashtra, India is an inconvenient forum.
- In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof (collectively “Dispute”), the relevant Customer and TCPL (collectively referred to as “Disputing Parties” and individually as “Disputing Party”) will use their best efforts to settle the Dispute.
- Such efforts will include, at a minimum, that they consult, meet in person or by video call, and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both the Disputing Parties.

If after 10 (ten) days of consultation, the Disputing Parties fail to reach an amicable
settlement, on any or all of the Disputes, such Disputes shall be submitted to final and
binding arbitration at the request of any of the Disputing Parties upon written notice to that
effect to the other Disputing Party. In the event of such arbitration:
- The arbitration shall be in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time, which are deemed to be incorporated into these Terms by reference;
- All proceedings of such arbitration shall be in the English language. The venue and seat of the arbitration shall be Pune, Maharashtra, India;
- The arbitration shall be conducted by a sole arbitrator appointed jointly/collectively by the Disputing Parties. In the event that the Disputing Parties are unable to agree on a sole arbitrator within 15 (fifteen) days following submission of the Dispute to arbitration, the sole arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996;
- Arbitration awards shall be reasoned awards and shall be final and binding on the Disputing Parties;
- The existence or subsistence of a dispute between the Disputing Parties, or the commencement or continuation of arbitration proceedings, shall not, in any manner, prevent or postpone the performance of those obligations of the Disputing Parties under these terms and conditions or any contract currently subsisting between the Disputing Parties which are not in dispute; and
- The costs of arbitration shall be shared equally by the Disputing Parties thereto.
